KEY AND ACCESS CODE AGREEMENT

This Key and Access Code Agreement is made and entered into as of ________________[Date] by and between:

 RECITALS WHEREAS, the Client desires to provide Sparkly Housekeepers LLC with a key or access code to the Client's residence located at (Refer to client's personal information) for the purpose of allowing Sparkly Housekeepers to perform cleaning services as agreed upon; 

WHEREAS, Sparkly Housekeepers LLC agrees to accept the key or access code under the terms set forth herein;

 NOW, THEREFORE, in consideration of the mutual covenants and conditions contained herein, the parties agree as follows:

 1. Grant of Access The Client hereby grants Sparkly Housekeepers LLC access to the Residence by providing a key or access code. The Access shall be used solely for the purpose of performing agreed-upon cleaning services.

 2. Security and Care of Access Sparkly Housekeepers LLC agrees to take all reasonable precautions to ensure the security and safety of the key or access code. Sparkly Housekeepers LLC shall:

 a. Keep the key or access code in a secure location when not in use.

 b. Ensure that only authorized personnel of Sparkly Housekeepers LLC have access to the key or code.

 c. Not duplicate the key or share the access code or key with any third party without the prior written consent of the Client.

 3. Use of Access Sparkly Housekeepers LLC shall use the Access only during scheduled cleaning appointments as agreed upon between the Client and Sparkly Housekeepers LLC. 

Sparkly Housekeepers LLC shall not use the Access for any other purpose without the express written consent of the Client. 

4. Liability Sparkly Housekeepers LLC shall be liable for any loss or damage resulting from the unauthorized use of the key or access code by Sparkly Housekeepers LLC or its employees, agents, or subcontractors.

 Sparkly Housekeepers LLC shall indemnify and hold harmless the Client from any claims, damages, or liabilities arising from such unauthorized use. 

5. Termination of Access The Client may revoke the Access at any time by providing written notice to Sparkly Housekeepers via email. 

Upon termination, Sparkly Housekeepers LLC shall return the key or cease using the access code immediately. Sparkly Housekeepers LLC will drop off the cleints key within 72 hours from termination of access. 

6. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin.

 7. Entire Agreement This Agreement constitutes the entire understanding between the parties regarding the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, whether written or oral.

 8. Amendments This Agreement may not be amended or modified except in writing signed by both parties.
